Introduction and Nature of the Platform

These Terms of Service (this “Agreement”) govern the relationship between Join Africa Travel Technologies Limited (“Join Africa,” “we,” “us,” or “our”) and any tour operator (“Operator,” “you,” or “your”) who registers for and subscribes to the Join Africa platform at www.joinafrica.com (the “Platform”).

Join Africa operates as an aggregator and digital discovery platform, connecting prospective travellers with licensed guides and tour operators across Africa. The Platform enables Operators to create and maintain a publicly accessible profile, receive enquiries from prospective clients and build a verified reputation through user-submitted reviews. Join Africa is not a booking agency, travel agent or tour operator and does not act as agent for any Operator in any transaction.

By registering for an account or subscribing to the Platform, you acknowledge that you have read, understood and agreed to be bound by this Agreement. This Agreement should be read together with our Tour Operator Privacy Policy, which governs the collection and use of your data and is available at www.joinafrica.com/privacy.

If you are entering into this Agreement on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind that entity to these terms.

Modifications to this Agreement

We reserve the right to amend this Agreement at any time at our sole discretion. Where amendments are material, we will provide you with not less than fourteen (14) days' prior written notice by email before the revised terms take effect. Your continued use of the Platform following the effective date of any amendment constitutes your acceptance of the revised Agreement. If you do not accept the revised terms, you must cancel your subscription prior to the effective date.

Eligibility and Registration

To register as an Operator on the Platform, you must:

• Be a legally registered business or licensed individual operator operating in the tourism or safari sector;
• Hold all licences, permits and registrations required by the laws of the jurisdiction or jurisdictions in which you operate;
• Provide accurate, current and complete registration and profile information; and
• Be at least 18 years of age, or have full legal authority to enter into this Agreement on behalf of a registered entity.

We reserve the right to decline, suspend or revoke any registration at our sole discretion, including where we have reason to believe that the information provided is inaccurate, misleading or incomplete.

Operator Profile

Upon registration and activation of your subscription, you are entitled to create and maintain an operator profile on the Platform (“Operator Profile”). Your Operator Profile may include your business name, description, service areas, safari and tour categories, pricing information, photographs, logos and any other content you elect to submit.

You acknowledge and agree that:

• Accuracy: You are solely responsible for ensuring that all information contained in your Operator Profile is accurate, complete, not misleading and compliant with all applicable laws and regulations.
• Licence Grant: By submitting content to the Platform for inclusion in your Operator Profile, you grant Join Africa a non-exclusive, royalty-free, perpetual and transferable licence to use, reproduce, display, distribute and adapt that content for the purposes of operating and promoting the Platform, including for search engine indexing and marketing materials.
• Public Visibility: Your Operator Profile, including all content you submit, will be publicly visible to Platform users and the general public and may be indexed by third-party search engines. You should not include in your profile any information you do not wish to be publicly disclosed.
• Content Standards: You must not submit profile content that is false, misleading, defamatory, obscene or unlawful, or that infringes the intellectual property or other rights of any third party.

We reserve the right to remove, edit or decline to publish any profile content that we consider to be in breach of this Agreement or otherwise contrary to the interests of the Platform or its users.

Subscription and Fees

Access to Operator features on the Platform is subject to the payment of a recurring monthly subscription fee.

• Current Fee: The current monthly subscription fee is USD $25.00 (or the locally equivalent amount as displayed at the point of checkout). This fee is inclusive of all standard Operator features available at the time of subscription.
• Fee Amendments: Join Africa reserves the right to amend the subscription fee at any time. We will provide you with not less than thirty (30) days' prior written notice of any fee change by email. Your continued use of the Platform after the effective date of a fee change constitutes your acceptance of the revised fee. If you do not accept the revised fee, you must cancel your subscription prior to the effective date.
• Billing: Subscriptions are billed monthly on a recurring basis from the date of your first payment. Payment is processed on each billing date via Paystack (Pty) Ltd (“Paystack”), our independent third-party payment service provider. By subscribing, you authorise Join Africa to instruct Paystack to charge your nominated payment method on each billing date.
• Payment Processing: All subscription payments are processed exclusively by Paystack. By completing payment, you transact directly with Paystack and agree to be bound by Paystack's applicable terms of service. Join Africa does not at any point receive, store or have access to your full payment card details or banking credentials. Join Africa receives only transaction confirmation data necessary to activate and manage your subscription.
• Failed Payments: If a scheduled subscription payment fails, your account may be suspended or access to Operator features restricted without notice. Join Africa accepts no liability for any loss of profile visibility, leads or enquiries resulting from a payment failure. We will endeavour to notify you by email of any failed payment.
• No Refunds: Subscription fees are non-refundable, including in respect of any period during which your account is suspended or you elect not to use the Platform. Partial-month refunds will not be issued upon cancellation.

Cancellation and Termination

You may cancel your subscription at any time by contacting us at info@joinafrica.com or through the account management settings on the Platform. Cancellation takes effect at the end of your current monthly billing period. No refund will be issued in respect of the remainder of the billing period following cancellation.

We reserve the right to suspend or terminate your account and subscription at any time and without prior notice if:

• You breach any provision of this Agreement;
• You provide false, misleading or fraudulent registration or profile information;
• We receive credible complaints regarding the safety, legality or quality of your services;
• Your subscription payment fails and is not remedied within seven (7) days of our notification to you; or
• We determine, in our sole discretion, that your continued presence on the Platform is harmful to the Platform, its users or the reputation of Join Africa.

Upon termination, your Operator Profile and associated content may be removed from the Platform at our discretion. No refund of subscription fees will be issued in cases of termination for cause.

Reviews and Ratings

User-submitted reviews and ratings are a core feature of the Platform. By subscribing, you acknowledge and agree that:

• Reviews submitted by Platform users in respect of your business will be publicly displayed on your Operator Profile and may be visible to all Platform users and the general public.
• Join Africa does not author, endorse or verify the content of individual reviews. Reviews represent the personal opinions of the submitting user only.
• You must not directly or indirectly incentivise, solicit, manipulate or fabricate reviews. Any attempt to do so constitutes a material breach of this Agreement.
• You may report a review that you believe to be fraudulent, defamatory or in breach of our content standards. Join Africa retains sole and absolute discretion over whether to remove or retain any review.
• You must not take any action the purpose or effect of which is to suppress, remove or discredit a legitimate review.

Nature of Join Africa's Role as Aggregator

Join Africa operates exclusively as an aggregator and digital discovery platform. For the avoidance of doubt:

• Join Africa is not a party to any booking, contract, payment arrangement or other commercial transaction entered into between you and a prospective client or traveller introduced through the Platform.
• Join Africa does not hold client funds, process bookings on your behalf or act as your agent in any capacity.
• All commercial arrangements between you and clients introduced through the Platform are solely your responsibility, including in respect of pricing, fulfilment, insurance, liability and compliance with applicable tourism regulations.
• Join Africa makes no representation or warranty regarding the suitability, creditworthiness or intentions of any Platform user who contacts you through the Platform.
• Join Africa accepts no liability for any loss, damage, claim or dispute arising out of or in connection with your dealings with any client or prospective client introduced through the Platform.

Relationship with Guides

Guides registered on the Platform operate independently and may elect to associate their profiles with your Operator Profile by tagging your business. You acknowledge that:

• You have no authority through the Platform to direct, instruct, engage or manage guides.
• Any commercial or employment arrangement between you and a guide is entirely separate from this Agreement and Join Africa bears no responsibility for it.
• You must not use the Platform to solicit guides to operate outside the Platform in a manner that undermines the Platform's three-sided network model.
• Where a guide tags your business in a photograph uploaded to the Platform, you are granted a licence to use that photograph for promotional purposes in accordance with the Platform's content licensing terms.

Intellectual Property

The Platform and all of its original content, features, functionality and branding are owned by Join Africa Travel Technologies Limited or its licensors and are protected by copyright, trademark and other applicable intellectual property laws. Nothing in this Agreement transfers any intellectual property rights in the Platform to you.

You retain ownership of all original content you submit to your Operator Profile, subject to the licence granted to Join Africa as set out in the Operator Profile section above.

Confidentiality

Any non-public information you receive about Platform users, including contact details, enquiry content or behavioural data, must be treated as confidential and used solely for the purpose of responding to genuine travel enquiries originating from the Platform. You must not sell, share, transfer or otherwise disclose such information to any third party.

Privacy

The collection, use and disclosure of your personal and business data in connection with your use of the Platform is governed by our Tour Operator Privacy Policy, available at www.joinafrica.com/privacy. By registering and subscribing, you acknowledge that you have read and agree to our Privacy Policy. We may update our privacy practices from time to time in accordance with the terms of the Privacy Policy.

Disclaimer of Warranties

The Platform is provided on an “as is” and “as available” basis. Join Africa Travel Technologies Limited makes no warranty, express or implied, including any implied warranty of merchantability, fitness for a particular purpose or non-infringement. We do not warrant that the Platform will operate on an uninterrupted, timely, secure or error-free basis, that any particular volume of leads or enquiries will be generated, or that the Platform will meet your specific business requirements.

Limitation of Liability

Join Africa Travel Technologies Limited and its affiliates, officers, directors, employees and agents shall not be liable for any indirect, incidental, special, consequential or punitive damages arising out of or in connection with your use of the Platform, including without limitation loss of revenue, loss of bookings, loss of data or reputational damage.

Our total aggregate liability to you under or in connection with this Agreement shall not exceed the total subscription fees paid by you in the three (3) calendar months immediately preceding the event giving rise to the claim.

Indemnification

You agree to indemnify, defend and hold harmless Join Africa Travel Technologies Limited and its affiliates, officers, directors, employees and agents from and against any and all claims, liabilities, damages, losses, costs and expenses (including reasonable legal fees) arising out of or in connection with: (i) your breach of this Agreement; (ii) your Operator Profile or any content submitted by you to the Platform; (iii) your dealings with clients or guides; or (iv) your violation of any applicable law or the rights of any third party.

Modification or Suspension of the Platform

We reserve the right to modify, suspend or discontinue the Platform or any feature thereof at any time, with or without prior notice. Join Africa shall not be liable to you for any modification, suspension or discontinuation of the Platform or any feature thereof.

Severability

If any provision of this Agreement is held by a court or competent authority to be invalid, unlawful or unenforceable, the parties agree that the provision shall be modified to the minimum extent necessary to make it enforceable. The remaining provisions of this Agreement shall continue in full force and effect.

Entire Agreement

This Agreement, together with the Tour Operator Privacy Policy, constitutes the entire agreement between Join Africa and you in relation to your use of the Platform as a tour operator and supersedes all prior agreements, representations and understandings, whether written or oral.

Applicable Law and Jurisdiction

This Agreement and any dispute or claim arising out of or in connection with it shall be governed by and construed in accordance with the laws of Kenya. The parties irrevocably submit to the exclusive jurisdiction of the courts of Nairobi, Kenya in respect of any such dispute or claim.
